Terms of Service
These Terms are the agreement between you and Joylo. They cover building on the Platform, the Credits and Architect Hours you spend doing it, and the Expert Assist and Co-Build engagements where our engineers work inside your project. We have kept them as plain as a contract can reasonably be, because terms you cannot follow protect nobody.
The short version
- You own what you build. Your projects, your code, and the AI Output generated for you are yours, and you can export them at any time.
- Architects enter your project only when you ask. Expert Assist and Co-Build are delivered by Joylo employees, and only for the engagement you requested.
- Credits and Architect Hours are prepaid. They are non-refundable, have no cash value, and buy access to the Services rather than acting as stored value.
- AI Output still needs your review. It can be wrong, and you are responsible for testing it before it reaches real users.
- Joylo subdomains are ours, not yours. Connect a custom domain for anything mission-critical.
- Irish law governs, and consumer rights stand. Nothing here removes a statutory right you cannot waive.
This summary is for orientation only. The numbered sections below are what actually binds us both.
1. Introduction
These Terms of Service ("Terms") are a legal agreement between you and Joylo Limited ("Joylo", "we", "us"), a private company limited by shares incorporated in Ireland under company number 818120, with its registered office at 6 Fern Road, Sandyford Business Park, Dublin 18, D18 FP98, Ireland. Your use of joylo.ai (the "Site") and the services made available on the Site (the "Services") is subject to these Terms.
By using the Site and any of our Services, you: acknowledge that you have read and understood these Terms; agree to be bound by them; agree to our Privacy Policy; and commit to comply with all applicable laws and regulations.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We may revise these Terms at any time by posting updated terms on the Site or providing you with notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.

3. License to Use Our Services
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, as permitted by your subscription plan. This license does not give you any ownership interest in the Services or Joylo Materials, and all rights not expressly granted are reserved by us. This license terminates immediately if you violate these Terms or your account is terminated for any reason.
4. License Restrictions
You agree not to, and not to allow others to:
- copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or Joylo Materials except as expressly permitted in these Terms;
- resell, provide, or make the Services available to any third party on a service bureau or time-sharing basis;
- share your account credentials or allow unauthorised access to your account;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, weights, or algorithms underlying the Services;
- bypass or disable any security, usage, or access controls, including rate limits;
- use automated tools such as bots, scrapers, or crawlers to access or interact with the Services without our written permission;
- upload, transmit, or distribute any malicious code, viruses, or other harmful content;
- overload, disrupt, or interfere with the normal operation of the Services, including through cryptocurrency mining or unrelated general-purpose computing;
- use the Services to harass, defame, impersonate, or otherwise harm others;
- use the Services in violation of applicable laws, regulations, export controls, or sanctions;
- use the Services to generate or disseminate harmful, misleading, unlawful, or infringing content;
- misrepresent AI Output as human-generated in contexts where doing so could cause harm or deception;
- rely on AI Output in high-risk or safety-critical contexts (including medical, legal, financial, or safety-critical uses) without independent review and appropriate safeguards;
- extract, reconstruct, or attempt to determine model weights, training data, or system logic underlying the Services; or
- use the Services, AI Output, or your prompts to train, develop, or improve any AI model that competes with the Services.
5. Subdomains and Preview Links
If you use the Services to deploy applications on subdomains or preview links that we provide, you acknowledge that Joylo retains all ownership rights in those domains and subdomains, and that we may reclaim, reassign, redirect, suspend, or terminate any subdomain or preview link at any time and for any reason, including to prevent confusion, impersonation, or trademark infringement, to address abuse or policy violations, to recycle inactive names, or for technical, operational, or business reasons.
We will generally provide at least seven (7) days' advance notice before reclaiming a subdomain to allow you time to transition to a custom domain, except where immediate action is necessary to address urgent legal, security, or abuse issues. You have no proprietary or ongoing rights to any specific subdomain or preview link, and reclamation does not entitle you to a refund or other compensation. You should use a custom domain for any mission-critical application.
6. Suspension and Termination for Breach
We may suspend or terminate your account, your access to the Services, or any portion of them immediately if we reasonably believe you have violated these Terms, including the License Restrictions or Acceptable Use Policy, or have engaged in fraudulent, abusive, or unlawful activity. Suspension or termination does not limit any other remedy available to us under law or equity, and you remain responsible for all fees and charges incurred up to the date of suspension or termination.
7. Billing and Payments
7.1 Plans
You can use the Platform under a free or paid plan, as described on our pricing page. Paid plans are billed in advance on a monthly or annual basis and renew automatically unless you cancel before the renewal date in your account settings. Plan limits, including Credits, Architect Hours, storage, and number of projects, are described on our pricing page and may change from time to time. Except where required by law, subscription fees are non-refundable.
7.2 Credits and Architect Hours
Access to the Platform's AI generation features is metered through Credits. Access to Expert Assist and Co-Build is metered through Architect Hours. Credits and Architect Hours are prepaid, non-refundable, non-redeemable, have no cash value, do not earn interest, and cannot be transferred between accounts except as we expressly permit. How credits work explains the day-to-day mechanics.
7.3 Free Credits
We may grant Free Credits on a recurring basis according to your plan. Free Credits expire at the end of the period for which they are granted and do not roll over.
7.4 Credit and Architect Hour rollover and expiration
On monthly paid plans, unused Credits and Architect Hours from your monthly allocation roll over to the next billing period, up to a maximum of one (1) times your monthly allocation. On annual paid plans, they roll over up to a maximum of twelve (12) times your monthly allocation. Any unused balance beyond these caps does not roll over. Rollover balances are used before your current billing period's allocation, and remain available only while you maintain an active paid subscription; they are subject to forfeiture as described in Section 12 on plan change, cancellation, downgrade, or termination for breach.
7.5 Purchasing and auto-reload
You may purchase additional Credits or Architect Hours through Stripe or another payment processor we designate. You may enable auto-reload so that your balance is automatically replenished when it falls below a threshold you select. We rely solely on the records, calculations, and determinations of our designated payment processor with respect to payments, metering, invoicing, and account balances, and those determinations are final and binding absent manifest error.
7.6 Invoices
We issue invoices showing your subscription charges and Credit and Architect Hour usage, based on the records of our designated payment processor. Fees are exclusive of VAT and other applicable taxes, which will be added where required. You are responsible for any taxes, duties, or government charges that apply, other than taxes based on our income.
7.7 No refunds; not a financial instrument
Except as required by applicable law, including Section 21 (EU Right of Withdrawal), Credits, Architect Hours, and all other fees are non-refundable. Credits and Architect Hours represent only a limited license to access the Services and are not deposits, stored value, or financial instruments.
7.8 Overdue amounts
We may suspend access to paid features, downgrade your account, or restrict deployment of live applications if payment is overdue, following reasonable notice.
8. Service Dependencies and Availability
We provide the Services using a combination of our own technology and third-party providers, including Infrastructure Providers for hosting and Third-Party AI Providers for AI generation. Because we do not fully control these providers, we cannot guarantee the uninterrupted availability, performance, or security of the Services. Interruptions, delays, or errors may occur, and we will not be responsible for issues caused by those providers or by events beyond our reasonable control, including force majeure events.
9. AI Use Disclaimer
The Services use artificial intelligence models, including models operated by Third-Party AI Providers, to generate AI Output. AI Output may contain errors, inaccuracies, or other issues and should not be relied upon without independent review and testing. You are solely responsible for reviewing, validating, and using any AI Output, whether generated through the Platform's integrated AI or with the assistance of an Architect.
You assume full responsibility for your use of AI Output and agree not to rely on it for critical or high-risk functions, including medical, legal, financial, or safety-related purposes, without appropriate independent safeguards. AI Output may be similar or identical to content generated for other Users who submit similar prompts. We do not guarantee that AI Output will be unique, free of third-party rights, accurate, or suitable for any particular purpose.
10. Expert Assist and Architect Services
10.1 Nature of the service
Expert Assist and Co-Build are services under which a named Architect, who is a Joylo employee and not a third-party contractor or marketplace freelancer, works directly within your project to provide engineering assistance you have requested.
10.2 User-initiated access
An Architect accesses a User's project only after the User affirmatively requests assistance, for example by initiating an Expert Assist request or activating a Co-Build engagement. We do not grant Architects standing or automatic access to a User's private projects.
10.3 Service levels
We aim to provide an initial response to Expert Assist requests within one (1) business day, and to Co-Build requests within the timeframe set out in your plan or order form. These are target service levels, not guaranteed service levels, and do not entitle you to a refund, credit, or damages, except where a specific Service Level Agreement has been separately agreed and signed with your organisation. Engaging an Architect does not guarantee that your application will function as intended, be free of defects, launch successfully, or achieve any particular business outcome.
10.4 Access to your project
By requesting Expert Assist or a Co-Build engagement, you authorise Joylo and the assigned Architect(s) to view, access, and modify the relevant project, including its code, configuration, connected accounts, and any data contained within it, solely to the extent necessary to provide the requested assistance. Architects are bound by confidentiality obligations to Joylo covering any Customer Data or other information they access while assisting you, and will not access, use, or disclose that information for any purpose other than providing the requested service, maintaining the security of the Services, and complying with applicable law.
If your project contains personal data belonging to your own end users, you are responsible for having a valid legal basis to permit an Architect's access to that data for this purpose, including, where required by applicable law, disclosing to your end users that authorised service providers may access their data to support the application.
10.5 Standard of care and ownership of contributions
Architects perform Expert Assist and Co-Build services with reasonable skill, care, and diligence consistent with generally accepted software engineering practices. Subject to payment in full for the applicable engagement, code and other work product an Architect creates or modifies within your project forms part of your Customer Data and is owned by you on the same basis as other AI Output under Section 13, and does not transfer to you any ownership of Joylo Materials, even where an Architect uses them while assisting you.
11. Customer Data and Privacy
11.1 No sensitive data
You agree not to upload, input, or otherwise provide any protected health information, or other sensitive categories of data such as financial account numbers, government identifiers, or biometric data, to the Services. The Services are not designed to handle that type of data, and we disclaim all responsibility if you choose to submit it.
11.2 Use of infrastructure and AI providers
The Services run in part on Infrastructure Providers, and the Platform transmits your prompts and related Customer Data to Third-Party AI Providers in order to generate AI Output. By using the Services, you consent to these transfers, this processing, and this storage. Our Privacy Policy lists the providers we use and where they operate.
11.3 Rights in Customer Data
Except for Personal Data, you grant us a worldwide, non-exclusive license to use, copy, modify, process, and analyse your Customer Data for the purpose of operating, maintaining, securing, and improving the Services, including the Platform's AI features, as further described in Section 11.4. This license does not permit us to use your Customer Data to train or fine-tune AI models on a raw or identifiable basis.
11.4 Use of data to improve the Services
We do not use raw or identifiable Customer Data for AI model training. We may anonymise and aggregate Customer Data and Usage Data and use it to analyse, maintain, and improve the Services, including our AI features, for any lawful business purpose. If you do not want your Customer Data used in this way, you may opt out by contacting hello@joylo.ai. Business Users on a Co-Build or Enterprise plan are automatically excluded from this use.
11.5 Retention and deletion
We retain Customer Data for as long as your account is active, and for thirty (30) days after account termination to allow export, after which it is deleted or anonymised, except where a longer period is required to comply with law, resolve disputes, or enforce our agreements. Backup copies may persist for up to ninety (90) days after deletion before being overwritten.
11.6 Your responsibility
You are responsible for ensuring that your use of the Services, and any application you build, host, or operate through the Platform, complies with applicable data protection and privacy law. If your application collects personal data from its own end users, you are the controller of that data and are solely responsible for providing those end users a lawful and transparent privacy notice and for honouring their rights, independently of Joylo's own Privacy Policy, which governs Joylo's relationship with you and not your relationship with your end users.
12. Refunds and Termination of Credits
If we terminate your account for your breach of these Terms, any remaining Credits and Architect Hours are forfeited. If you cancel your account, remaining Credits and Architect Hours remain available until the end of your current billing period. If we terminate your account for any reason other than your breach, including for security, legal, or business-continuity reasons, remaining Credits and Architect Hours will be applied to fees owed through the effective date of termination, after which they will expire.
13. Ownership
13.1 Our rights
We and our licensors own all rights, title, and interest in and to the Services and Joylo Materials, including the Platform, the Site, all underlying software, infrastructure, technology, databases, APIs, models, algorithms, interfaces, and tools, and all improvements or derivative works of the foregoing. Except for the limited license granted in Section 3, we reserve all rights in the Services and Joylo Materials.
13.2 Your rights
As between us, you own your Customer Data, including the applications, code, and other projects you build using the Services, and you own any AI Output generated for you through the Services, subject to any third-party rights in the underlying models, training data, or outputs, and subject to Section 10.5.
13.3 Usage Data
We own all Usage Data generated by or in connection with your use of the Services and may use it for any lawful business purpose, including monitoring, analytics, benchmarking, and improving the Services.
13.4 Export
You may export the code generated for your applications and deploy it on infrastructure of your choosing, subject to your plan's terms and to any third-party license terms applicable to open-source components included in that code.
13.5 Feedback
If you provide feedback, suggestions, or ideas about the Services, you agree that we may use, copy, modify, and exploit that feedback for any purpose, in any form, without restriction or compensation to you, and that we have no obligation to keep it confidential.
14. Public and Private Projects
Depending on your plan, projects may be created as private, visible only to you and collaborators you invite, or public, accessible to others through a shared preview link. Making a project public allows others to view or preview it through that link; it does not, by itself, grant any third party a license to copy, modify, or redistribute your code, and Joylo does not automatically apply an open-source license to public projects. You must not include live secrets, API keys, or another person's personal data in any project you make public.
15. Acceptable Use Policy
In addition to the License Restrictions in Section 4, you must not use the Services to build, host, store, or distribute any content that:
- is illegal, or facilitates illegal activity, under the laws applicable to your use of the Services;
- infringes the intellectual property, privacy, or other rights of any person;
- constitutes malware, ransomware, exploit code, phishing infrastructure, or spoofed sites, or is designed to gain unauthorised access to any system or data;
- harasses, threatens, defames, or incites violence against any person or group;
- sexually exploits or endangers minors in any way; we have zero tolerance for such content and will remove it, terminate the associated account, and report it to the relevant authorities as required by law;
- generates or facilitates non-consensual intimate imagery or sexual content involving a real, identifiable person; or
- provides regulated services, including financial, medical, or legal services or advice, without the licenses, registrations, or disclosures required by law.
We may investigate suspected violations and take action, including content removal, feature restriction, suspension, or termination, with or without prior notice depending on severity, and may cooperate with law enforcement and regulators where required by law.
16. Beta and Experimental Features
From time to time, we may make features available that are identified as beta, preview, or experimental. Such features may be incomplete, may change at any time, and may be discontinued without notice. They are provided "as is", without warranties of any kind, and may be subject to additional terms presented to you at the time of access.
17. Disclaimers of Warranties
The Services, including the Platform and all AI Output, are provided "as is" and "as available". We and our licensors and providers make no warranties, express or implied, about the Services or any results you may obtain. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, error-free, or free of harmful code, or that AI Output, or any code or configuration produced with the assistance of an Architect, will be accurate, reliable, or suitable for your intended use.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or wilful misconduct. If you are a consumer, nothing in these Terms affects any statutory right that cannot be excluded or limited under the law of your country of residence.
18. Indemnification
To the extent permitted by applicable law, if you are a Business User, you agree to indemnify, defend, and hold harmless Joylo, our affiliates, and our respective officers, employees, and agents from and against any third-party claims, damages, losses, and reasonable costs, including reasonable legal fees, arising out of or related to:
- your misuse of the Services, including excess or abusive use;
- your failure to comply with applicable laws or regulations;
- your violation of these Terms, including the License Restrictions or Acceptable Use Policy; or
- any Customer Data you provide, including claims of infringement, misappropriation, or violation of third-party rights, or your application's handling of your own end users' personal data,
except to the extent caused by our breach of these Terms or applicable law.
19. Limitation of Liability
To the fullest extent permitted by law, we and our licensors, providers, affiliates, and officers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, business interruption, or loss of goodwill, arising out of or relating to the Services or these Terms, even if we were advised of the possibility of such damages, except to the extent such liability cannot be limited under applicable law. Without limiting the foregoing, we will not be liable for any downtime, failures, delays, or other issues caused by Infrastructure Providers, Third-Party AI Providers, or other third parties; for errors or inaccuracies in AI Output; for any act or omission by you or anyone using your account; or for loss of Customer Data, except to the extent caused by our gross negligence or wilful misconduct. In no event will our total liability for all claims arising out of or relating to the Services or these Terms, whether in contract, tort, including negligence, or otherwise, exceed the amount you paid us for the Services in the twelve (12) months immediately preceding the claim, except to the extent such liability cannot be limited under applicable law.
This section does not limit or exclude liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or gross negligence or wilful misconduct, and, for consumer Users, does not override any non-excludable statutory right.
20. Term and Termination
These Terms begin when you first accept them or start using the Services and continue until terminated. You may terminate your account and stop using the Services at any time through your account settings.
We may terminate your account or access to the Services for convenience by providing you at least thirty (30) days' advance notice, or immediately as provided in Section 6 (Suspension and Termination for Breach). We may also discontinue or modify the Services in whole or in part at any time by providing you with advance notice.
On termination, your right to access the Services ends immediately. You remain responsible for all fees and charges incurred up to the date of termination. Any unused Credits or Architect Hours are forfeited as described in Section 12. We will make your exportable Customer Data available for thirty (30) days following termination, except where immediate deletion is required by law.
21. EU Right of Withdrawal for Consumers
If you are contracting with us as a consumer resident in the European Union or European Economic Area, you have a statutory right to withdraw from your contract with us within fourteen (14) days of the date it was concluded, without giving any reason. By choosing to access paid features of the Services immediately upon payment, you expressly request that we begin supplying the Services before the fourteen-day withdrawal period ends, and you acknowledge that, once we have fully performed the Services, you lose your right of withdrawal, or, where the Services are only partially performed, you remain liable to pay an amount proportionate to what has been supplied up to the point you communicate your withdrawal to us. To exercise this right, contact hello@joylo.ai before the fourteen-day period expires.
22. Survival
The provisions of these Terms relating to intellectual property, Customer Data rights, disclaimers, limitations of liability, indemnification, confidentiality, governing law, and any other provisions that by their nature should survive, will continue in effect after termination of your account or these Terms.
23. Publicity Rights
If you are a Business User, you grant us a non-exclusive, worldwide, royalty-free license to use your name, logo, and trademarks to identify you as a customer on our website, in customer lists, pitch materials, investor presentations, and other marketing and promotional materials. You may revoke this license at any time by giving us written notice at hello@joylo.ai; we will make commercially reasonable efforts to stop using your marks in new materials, but are not required to recall or destroy materials already in use. You represent and warrant that you have all necessary rights to grant this license.
24. Copyright and Content Complaints
If you believe content hosted on the Services infringes your intellectual property rights, or otherwise violates these Terms, send a notice to hello@joylo.ai that includes:
- identification of the work or right claimed to be infringed;
- identification of the material claimed to be infringing and information reasonably sufficient to locate it;
- your contact details;
- a statement that you have a good-faith belief that the use is not authorised;
- a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the rights holder or authorised to act on their behalf; and
- your signature.
On receipt of a valid notice, we will assess it, may remove or disable access to the reported content, and will provide the affected User a statement of reasons where required by law. If content is removed and the affected User believes this was done in error, they may submit a counter-notice with equivalent detail, and we may reinstate the content in accordance with applicable law.
We have adopted a policy of terminating, in appropriate circumstances and at our discretion, the accounts of Users determined to be repeat infringers, and may limit access to the Services or terminate the account of any User who infringes the rights of others even where they are not a repeat infringer.
25. Eligibility
You may use the Services only if you are at least eighteen (18) years old, or the age of legal majority in your place of residence if higher, and capable of forming a binding contract with us. The Services are not intended for individuals under the age of eighteen (18), and we do not knowingly collect personal data from anyone under this age. If we learn that we have collected personal data from a minor without a valid legal basis, we will take reasonable steps to delete it. If you believe a child has provided us personal data, contact hello@joylo.ai.
26. Export Controls and Sanctions
You may not use the Services if you are located in, organised in, or a resident of, or acting on behalf of a person or entity located in, a country or territory subject to comprehensive sanctions imposed by the European Union, the United Nations, or other applicable authorities, or if you are listed on any applicable restricted-party, denied-persons, or sanctions list. You represent and warrant that you are not subject to such restrictions. We may suspend or terminate accounts where necessary to comply with sanctions and export-control laws.
27. Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or relating to them, the Services, or your use of the Services are governed by the laws of Ireland, without regard to its conflict-of-laws principles. The courts of Ireland have non-exclusive jurisdiction over any such dispute.
If you are a consumer, nothing in this section deprives you of the protection afforded by any mandatory provisions of the law of the country in which you habitually reside, and you may bring proceedings before the courts of that country as well as before the courts of Ireland. If you are a consumer resident in the European Union, you may also submit a complaint through the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
28. Notices
We may provide notices to you, including changes to these Terms or other important information, by email to the address associated with your account, through in-product notification, or by posting on the Site. Notices sent by email are deemed received when sent. All legal notices to us must be sent to hello@joylo.ai or to our registered office set out in Section 1.
29. Miscellaneous
29.1 Entire agreement
These Terms, together with our Privacy Policy and any order form, plan terms, or Data Processing Addendum applicable to your account, are the entire agreement between you and Joylo regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the Services.
29.2 Assignment
You may not assign, delegate, or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign, delegate, or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets. Any attempt to assign in violation of this section is void.
29.3 Waiver and severability
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
29.4 Force majeure
Neither party is liable for any delay or failure to perform its obligations under these Terms, other than payment obligations, caused by circumstances beyond its reasonable control.
30. Contact Information
For anything in these Terms, email hello@joylo.ai. For product questions, the Help Center and our contact form are the fastest route. Privacy questions are handled under our Privacy Policy.
